ONCE YOU AGREE TO THIS AGREEMENT, IT WILL REMAIN IN EFFECT UNTIL YOU OR STYLE THEORY TERMINATES IT. PLEASE READ THESE TERMS CAREFULLY. THESE TERMS MAY HAVE CHANGED SINCE YOU LAST ACCESSED OR USED THE SERVICES.

1. OVERVIEW

You would like Style Theory to rent and/or sell the items that you have sent to us or that we have collected from you (collectively, the "Property"). This may be on a consign-to-rent basis (“Rental Consignment”), consign-to-sell basis (“Sales Consignment”) or consign-to-rent-and-sell (“Rental & Sales Consignment”). 

This means that you, not Style Theory, will still own the Property, even after you transfer physical possession of the Property to Style Theory. 

Please note that all prices are determined at Style Theory’s sole discretion unless previously agreed in writing. Once the contract for the Eligible items has been signed (the items are then "Accepted"), they will then be processed and listed as available for rent and/or sale on Style Theory platforms, which may include physical display for promotion or purchase at our retail or warehouse locations, at Style Theory's sole discretion.

Under our Rental Consignment Agreement, Style Theory consigns items from owners and rents them to members of Style Theory (“Member”). 

Under our Sales Consignment Agreement, Style Theory consigns items from owners and lists them for sale. 

Under our Rental & Sales Consignment Agreement, Style Theory consigns items from owners and lists them for both rental and sale. This is an additional option for our Rental Consignment items where Members may purchase the item while renting it. The item will be made available for sale when it is not being rented. 

2. DELIVERY OF PROPERTY; RISK OF LOSS; INSURANCE

Style Theory accepts the Property from you on a Consignment basis only. You are responsible for all risk of loss or damage to the Property until Style Theory takes physical possession of it; however, if you use Style Theory's logistics provider, Style Theory will assume the risk of loss or damage to the Property upon shipment. 

If Property under Rental Consignment is damaged, stolen, or lost while in Style Theory’s possession, Style Theory will pay you up to the Item Value (defined in the "Custom Quote" at Section 8 below) on that item. This remedy shall constitute your sole remedy and entire recourse against Style Theory for Property.

If Property under Sales Consignment is damaged, stolen, or lost while in Style Theory's possession, it will be treated as Sold (defined in "Title to Property" at Section 11 below) and Style Theory will pay you based on the damaged, stolen, or lost item’s estimated Selling Payout (defined in "Custom Quote" at Section 8 below), which will be determined solely by Style Theory. This remedy shall constitute your sole remedy and entire recourse against Style Theory for Property that is damaged, stolen, or lost and is in lieu of any other remedy otherwise available as a matter of law or equity.

If Property under Rental & Sales Consignment is damaged, stolen, or lost while in Style Theory’s possession, Style Theory will pay you up to the lower of the Item Value (defined in the "Custom Quote" at Section 8 below) and the Selling Payout on that item. This remedy shall constitute your sole remedy and entire recourse against Style Theory for Property.

3. PROPERTY ACCEPTANCE CONDITIONS

Upon receipt, Style Theory will evaluate each item of Property to determine, in its sole discretion, its authenticity, quality, and value. The item’s condition will affect the Item Value.

Style Theory only accepts Property for Consignment : (a) that Style Theory determines in its sole discretion to be in very good to excellent condition; (b) that is listed in Style Theory’s current Designer Directory at the time of evaluation; (c) that Style Theory determines in its sole discretion to be authentic; and (d) for which the representations and warranties you make in the "Your Representations, Warranties, and Indemnification" at Section 15 below are true.

Property that does not meet the above requirements will not be accepted and will be returned to you. 

4. UNAUTHENTICATED, COUNTERFEIT, OR STOLEN ITEMS

You are responsible for ensuring the authenticity of all Property you provide to us. 

If Style Theory cannot confirm the authenticity of any item of Property you have provided or determines at any time that an item of Property is counterfeit, Style Theory shall notify you that it has made such a determination and you will have an opportunity to provide proof of purchase/other proof of authenticity acceptable to Style Theory. If you are unable to provide such proof of authenticity, the item will not be listed as available for sale and/or rent immediately and Style Theory will reserve the right to either charge a S$100 penalty fee or take possession of the item from you.

If you are charged the penalty fee and do not make payment for the penalty fee within 30 days of the notice, the penalty fee may be deducted from your pending Selling Payout (See “Custom Quote”). If you are a consignor on our Rental Consignment Programme, we may also offset any charges from your Rental Payout.

If you do not have enough pending Selling Payout or Rental Payout available to cover the penalty fee, Style Theory shall take possession of the item and have no obligation to return the item to you.

You acknowledge and understand that Style Theory is subject to laws and regulations relating to claims that consigned items are counterfeit, have been stolen, or otherwise violate applicable law. Style Theory takes such reports seriously and will cooperate with law enforcement in all investigations.

5. CONSIGNMENT PERIOD AND RETURN OF PROPERTY

All properties under the Consignment programmes will be under the “Consignment Period” that lasts for a minimum 90 days, beginning on the date the contract is signed.

After the Minimum Consignment Period and subject to this provision, you may request in accordance with the “Notice” provision below, that Style Theory return Property (a "Return Request"), so long as the item has not already been sold or rented out to a Member. Once Style Theory receives your Return Request, it will use commercially reasonable efforts to remove Property from our platforms, pop-up store, and websites  including https://www.styletheory.co/pages/bag and https://second-edit.co  (the "Site"), within 5 business days before it is sold or rented out. If a Return Request is received while Property is being rented out or requires any cleaning and maintenance, it will only be returned when Property is back in the warehouse which may take up to 60 days. It is your responsibility to ensure that Style Theory has your most current contact information and mailing address.

Rental Consignment:

(a) If the Return Request is made 90 days or less from the date Style Theory Accepted the item of Property, Style Theory will charge you the costs of return and an administrative fee of $200 (“administrative return fee”).

The administrative return fee may be deducted from rental payouts for consignors with items under Rental Consignment.

If you do not have enough pending Rental Payout available to cover the costs of return, Style Theory shall have no obligation to return the item to you unless and until you pay Style Theory the costs prior to shipment.

The administrative return fees reflect Style Theory’s up-front costs of storing, cataloguing, and photographing the item in preparation for rental and/or sale, plus applicable shipping costs.

(b) Style Theory may at its discretion de-list a Property from Rental Consignment at any time. Property which has been de-listed will be returned to you within 5 business days. If Style Theory is unable to contact you at the email or physical address it has on file for you in accordance with the "Notices" Section 22 below, the item will be donated to a charity of Style Theory’s choice after 90 days.

(c) Returned items will be insured until it is delivered. Once you have confirmed receipt of delivery by means of a signature, the responsibility of your purchased goods is then passed to you. If someone else signs for delivery of an item on your behalf (whether or not they have authority to do so), you shall be treated as having received the item.

Sales Consignment:

(a) If the Return Request is made 90 days or less from the date Style Theory Accepted the item of Property, Style Theory will charge you the costs of return and an administrative fee of $200 (“administrative return fee”).

The administrative return fee may be deducted from any pending Selling Payout (See “Custom Quote” in Section 8 below) for consignors with items under Sales Consignment.

If you do not have enough pending Selling Payout available to cover the costs of return, Style Theory shall have no obligation to return the item to you unless and until you pay Style Theory the costs prior to shipment.

The administrative return fees reflect Style Theory’s up-front costs of storing, cataloguing, and photographing the item in preparation for sale, plus applicable shipping costs.

(b) The Sales Consignment period will end 6 months thereafter, even if this Agreement has been terminated during that time by you or Style Theory. 

(c) If the Return Request is made more than 90 days after Acceptance, items under the Sales Consignment items will be returned within 30 days at Style Theory’s expense and no costs will be added. 

(c) If an item remains unsold at the end of the Sales Consignment Period, Style Theory will contact you and, at your option and Style Theory’s expense: (i) return the item to you or (ii) donate the item to a charity of Style Theory’s choice.

(d) If at the end of the Sales Consignment Period Style Theory is unable after using commercially reasonable efforts to contact you at the email or physical address it has on file for you in accordance with the "Notices" at Section 22 below, the item may be donated to a charity of Style Theory’s choice.

Style Theory may at its discretion de-list a Property from Rental Consignment at any time. Property which has been de-listed will be returned to you within 5 business days. If Style Theory is unable to contact you at the email or physical address it has on file for you in accordance with the "Notices" Section 22 below, the item will be donated to a charity of Style Theory’s choice after 90 days.

(e) Returned items will be insured until it is delivered. Once you have confirmed receipt of delivery by means of a signature, the responsibility of your purchased goods is then passed to you. If someone else signs for delivery of an item on your behalf (whether or not they have authority to do so), you shall be treated as having received the item.

Rental & Sales Consignment:

(a) If the Return Request is made 90 days or less from the date Style Theory Accepted the item of Property, Style Theory will charge you the costs of return and an administrative fee of $200 (“administrative return fee”).

The administrative return fee may be deducted from rental payouts (applicable to rental consignment and rental & sales consignment) or any pending Selling Payout (See “Custom Quote” in Section 8 below) for consignors with items under Sales Consignment or Rental & Sales Consignment.

If you do not have enough pending Selling Payout or Rental Payout available to cover the costs of return, Style Theory shall have no obligation to return the item to you unless and until you pay Style Theory the costs prior to shipment.

The administrative return fees reflect Style Theory’s up-front costs of storing, cataloguing, and photographing the item in preparation for rental and/or sale, plus applicable shipping costs.

(b) The Sales Consignment period will end 6 months thereafter, even if this Agreement has been terminated during that time by you or Style Theory. 

(c) If at the end of the Sales Consignment Period Style Theory is unable after using commercially reasonable efforts to contact you at the email or physical address it has on file for you in accordance with the "Notices" at Section 22 below, the item may be donated to a charity of Style Theory’s choice.

Style Theory may at its discretion de-list a Property from Rental Consignment at any time. Property which has been de-listed will be returned to you within 5 business days. If Style Theory is unable to contact you at the email or physical address it has on file for you in accordance with the "Notices" Section 22 below, the item will be donated to a charity of Style Theory’s choice after 90 days.

(d) Returned items will be insured until it is delivered. Once you have confirmed receipt of delivery by means of a signature, the responsibility of your purchased goods is then passed to you. If someone else signs for delivery of an item on your behalf (whether or not they have authority to do so), you shall be treated as having received the item.

6.       RENTAL

All accepted Property under the Rental Consignment and Rental & Sales Consignment will be made available for rental. 

You will be paid in accordance with the Custom Quote for each day of the “Rental Period”. The Rental Period starts from the day a Property reaches the member and ends on the day it is picked up from the member. The Rental Period does not include days when the item is held for maintenance.

All accepted items will be made available for rental or sale within 30 business days from the date the Agreement is signed unless agreed in writing between Style Theory and You.

Items accepted for Rental Consignment may also be listed as available for sale at a later date under our Rental & Sales Consignment Programme.

7. SALES; EFFORTS TO SELL

All accepted Property under Sales Consignment will be displayed on Style Theory’s platforms and, at Style Theory’s sole discretion, displayed and made available for sale on other platforms or physical locations. Style Theory will make commercially reasonable efforts to sell the Property. 

All accepted Property under the Rental & Sales Consignment will be displayed on Style Theory’s platforms and made available for sale when not being rented by one of our Members. Style Theory will make commercially reasonable efforts to sell the Property when the item is not being rented.

8. CUSTOM QUOTE

The “Custom Quote” consists of a “Item Value”, “Rental Payout”, “Maximum Sale Price”, “Discounted Sale Price”, “Selling Payout” and “Commission”.

For Property under either Rental Consignment or Rental & Sales Consignment:

(a) Item Value represents the maximum amount payable to you in the case of loss, theft or damages. The Item Value will be estimated based on the item’s authenticity, condition and/or market value, which will be determined solely by Style Theory. This is only applicable to Property under either Rental Consignment or Rental & Sales Consignment and does not apply to Property under Sales Consignment. If you opt to list your item for both rental and sale under Rental & Sales Consignment, Style Theory reserves the right to reduce the maximum amount payable to the lower of the Item Value and the Selling Payout in the event of any loss, theft, or damages.

(b) Rental Payout is the amount payable to you should the Rental Period of the Property be for the duration of an entire month. Where the Rental Period is less than an entire month, the Rental Payout will be prorated accordingly. The Rental Payout will represent the sole compensation for any fair wear and tear arising from normal use and aging (See “Fair Wear and Tear; Damages”). This is only applicable to Property under either Rental Consignment or Rental & Sales Consignment and does not apply to Property under Sales Consignment. 

For Property under either Sales Consignment or Rental & Sales Consignment:

(c) Final Sale Price. The amount at which the Property is sold for, including payment processing fees.

(d) Commission. Style Theory will earn a Commission (“Commission”) on all items sold on its platform based on the applicable Commission Rate, which already includes payment processing fees of 3.5%.

Commission = (Final Sale Price - Payment Fee) x (1 - Selling Payout Rate)

(e) Selling Payout. This is the amount Style Theory will pay you on each item of Property that is Sold. The Selling Payout is calculated by taking the Final Sale Price price at which the item is sold for, and deducting the Commission. The Selling Payout you receive for sales of your Property are the sole compensation you will receive under this Agreement.

Selling Payout = (Final Sale Price - Payment Fee) x (1 - Commission Rate)

(f) Maximum Sale Price.This is Style Theory’s recommended selling price based on the current secondhand market value. You may indicate a lower price if you wish under the Minimum Sale Price. If you indicate a higher price, we will take the lower of these two prices. If the item is listed for rent and sale under Rental & Sales Consignment, Style Theory reserves the right to reduce the maximum amount payable to the lower of the Item Value (see “Custom Quote” below) and the Selling Payout in the event of any loss, theft, or damages. 

(g) Discounted Sale Price (Sales Consignment). For Property exclusively under Sales Consignment which remain unsold after 90 days, Style Theory may choose to offer a discount of up to 15% from the Maximum Sale Price. You acknowledge that Style Theory is not obliged to update you when the listed price is discounted. You may choose to set a selling price that is lower than the Discounted Sale Price (“Minimum Sale Price”). The Minimum Sale Price enables Style Theory to offer at its sole discretion, additional discounts, and promotions if it is not sold within 90 days without notice to you so as to efficiently market and sell the Property. 

(h) Minimum Sale Price (Sales Consignment): For items under Sales Consignment, you may choose to set a price that is lower than the Discounted Sale Price. If you indicate a higher price, we will take the lower of these two prices. The Minimum Sale Price enables Style Theory to offer at its sole discretion, additional discounts and promotions if the item is not sold within 90 days without notice. Style Theory will ensure that the sale price after discounts and promotions will not be lower than the lesser of the Minimum Sale Price and the Discounted Sale Price. If the Minimum Sale Price indicated is higher than the Discounted Sale Price, Style Theory may reduce the sale price to the lower of the two prices.

(i) Minimum Sale Price (Rental & Sales Consignment): For items under Rental & Sales Consignment, You may choose to set a price that is lower than the Maximum Sale Price. If you indicate a higher price, we will take the lower of these two prices. The item will be listed for sale at the Minimum Sale Price during the consignment period when it is not being rented. Style Theory will ensure that the sale price after discounts and promotions will not be lower than the lesser of the Minimum Sale Price and the Maximum Sale Price. If the Minimum Sale Price indicated is higher than the Maximum Sale Price, Style Theory may reduce the sale price to the lower of the two prices.

For all Property under Sales Consignment, Rental Consignment and Rental & Sales Consignment:

(j) Payments (Rental payout). The Rental Payout Period is over two calendar months, and Style Theory typically processes Rental Payout payments on the last day of the following month. For example, items rented in January and February will be paid all at once on the 31st of March. Items rented in March and April will be paid all at once on the 31st of May. Payments will be made to you by bank transfer to a local bank account.

(k) Payments (Selling payout). The Sale Payout Period is over one calendar month, and Style Theory typically processes Selling Payout payments on the last day of the following month. Sales are considered final after the relevant refund period has passed. For example, payments processed on 30 April would cover the sales from 1 March through 31 March. Payments processed on 31 July would cover the sales from 1 June to 30 June. Payments will be made to you by bank transfer to a local bank account.

(l) Amendment of Listing and Sale Price. All requests to list, de-list or amend the Sale Price must be informed to us in writing in accordance with the Notice provision below. All requests must be sent to Style Theory by the end of the calendar month and are subject to Style Theory’s approval of the price. If approved, this will typically be effected on the site on the 15th of the following month.

(m) Disputes. If there is a dispute between you and Style Theory, Style Theory shall have no obligation to pay any amounts due to you, including without limitation, amounts unrelated to the dispute, unless and until the dispute is resolved. Style Theory may withhold any payments due to you in full or partial satisfaction of any amounts you owe to Style Theory.

9.       FAIR WEAR AND TEAR; DAMAGES

For Property under either Rental Consignment or Rental & Sales Consignment, you will accept that the Property will be made available for rental and in doing so will be subjected to fair wear and tear in the course of normal use and aging.

The following are considered standard wear and tear, for which no additional compensation will be provided: scratches on hardware, loss of structure, creasing and wrinkling, indentations and inner lining stains of up to 3cm, and cracks on the handles, edges and straps of smooth and/or aged leather.

For damages outside of fair wear and tear, Style Theory will repair the item or in the event that it is irreparable, pay you up to the Item Value (defined in the "Custom Quote" at Section 8 above) on that item. If you opt to list your item for sale, Style Theory reserves the right to reduce the maximum amount payable to the lower of the Item Value and the Selling Payout in the event of any loss, theft, or damages. The amount will be determined solely by Style Theory based on the lower of a) how much it will cost to repair the item and b) the reduction in market value of the item due to damage at the time of the assessment (defined in the "Custom Quote" at Section 8 above). 

10.       SECURITY

To ensure the security and protection of your item, Style Theory reserves the right to include security devices within the item. 

11. TITLE TO PROPERTY

You will continue to own and have title to each item of Property until that item is "Sold". An item will be considered Sold when:

(a) it is sold by Style Theory to a customer and not returned to Style Theory within the period specified in Style Theory's then-current Return Policy; or

(b) it is lost, stolen, damaged, or destroyed while in Style Theory's possession.

12. TERMINATION

Style Theory may terminate this Agreement in writing at any time, for any reason. Termination will be effective on the date of such notice and the costs listed under "Consignment Period and Return of Property" at Section 5 above, will apply.

13. NO ASSIGNMENT

You may not assign this Agreement or any interest you have in it without Style Theory's prior written consent. Any prohibited assignment is null and void.

14. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF STYLE THEORY’S SERVICES IS AT YOUR SOLE RISK. STYLE THEORY’S CONSIGNMENT AND OTHER SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. STYLE THEORY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT. STYLE THEORY MAKES NO WARRANTY THAT (A) STYLE THEORY’S SERVICES WILL MEET YOUR REQUIREMENTS OR (B) STYLE THEORY’S SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, THAT YOU OBTAIN FROM STYLE THEORY OR THROUGH OR FROM THE SITE OR STYLE THEORY’S SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

STYLE THEORY AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES OR FOR DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR FOR OTHER INTANGIBLE LOSSES (EVEN IF STYLE THEORY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM: (A) THE USE OR THE INABILITY TO USE STYLE THEORY’S SERVICES OR THE SITE; (B) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (C) THE ACTIVITIES CONTEMPLATED BY THIS AGREEMENT; OR (D) ANY OTHER MATTER RELATING TO STYLE THEORY’S SERVICES OR THIS AGREEMENT.

IN NO EVENT WILL STYLE THEORY'S LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT IT HAS ACTUALLY RECEIVED AS A RESULT OF SELLING YOUR PROPERTY HEREUNDER.

THE FOREGOING DISCLAIMERS AND LIMITATIONS ARE A FUNDAMENTAL PART OF THE BASIS OF STYLE THEORY'S BUSINESS, AND STYLE THEORY WOULD NOT ENTER INTO THIS AGREEMENT WITHOUT SUCH DISCLAIMERS AND LIMITATIONS.

PLEASE SEEK THE ADVICE OF APPROPRIATE PROFESSIONALS REGARDING THE TERMS OF THIS AGREEMENT AND THE EVALUATION OF ANY SPECIFIC OPINION, ADVICE, PRODUCT, SERVICE, OR OTHER CONTENT.

15. YOUR REPRESENTATIONS, WARRANTIES, AND INDEMNIFICATION

You hereby represent and warrant that (a) you have good and marketable title to each item of Property and have the right to consign and sell the Property; (b) none of the Property is subject to any liens or other encumbrances; (c) the Property does not include counterfeit goods; and (d) the Property does not infringe upon, misappropriate, or violate any trademark, copyright, or other intellectual property or other proprietary right of any third party, any state or federal law, or any administrative regulation.

You hereby indemnify and hold Style Theory harmless from all damages, suits, litigation, awards, and costs, including but not limited to, reasonable attorneys’ fees and costs, incurred by Style Theory as a result of or arising in any way out of Style Theory's display or sale of the Property, including but not limited to, civil or criminal suits over authenticity or ownership of Property, legality of sales, or copyright or trademark infringement. You expressly consent to jurisdiction of the Singapore Courts with respect to any matter arising under this Section 15.

This Agreement, or the breach thereof, and all claims of any kind relating to or arising out of this Agreement and the relationship between you and Style Theory, whether tort, contract, or statutory, shall be governed by the laws of Singapore, without regard to its conflicts of laws principles.

16. AMENDMENTS TO THIS AGREEMENT

Style Theory may update or change any of the terms and conditions of this Agreement at any time in its sole discretion upon 14 days’ notice, including as set forth above in ”Custom Quote” at Section 8 above, and by notifying you in accordance with "Notices" at Section 22, below.

Revised terms will not apply to Property already Accepted for Sales Consignment prior to the effective date of those revised terms.

You shall be bound by all revised terms on the effective date, including any changes to the Commission, unless you terminate this Agreement before the effective date of the revised terms. If you do not agree to any revised terms, your sole recourse is to terminate this Agreement in accordance with "Termination" at Section 12 above before the effective date of the revised terms.

17. ENTIRE AGREEMENT

This Agreement sets forth the final, complete, and exclusive agreement between you and Style Theory regarding the subject matter hereof, and terminates and supersedes all prior understandings or agreements on such subject matter. Except as set forth in "Custom Quote" at Section 8 and "Amendments to this Agreement" at Section 16 above, this Agreement may be modified only by a writing signed by you and Style Theory.

18. NO IMPLIED WAIVER

Any failure by you or Style Theory to enforce any provision of this Agreement shall not constitute a waiver of such provision or of any other provision of this Agreement.

19. SEVERABILITY

If any term of this Agreement is found by any court to be void or otherwise unenforceable, the remainder of this Agreement shall remain valid and enforceable as though such term were absent upon the date of the execution of this Agreement.

20. SURVIVAL OF TERMS AFTER AGREEMENT ENDS

Notwithstanding any other provision of this Agreement, any provision of this Agreement that imposes or contemplates continuing obligations on you or Style Theory will survive the termination of this Agreement.

21. HEADINGS

Headings used in this Agreement are provided for convenience only and shall not be used to construe meaning or intent.

23. AUTHENTICATION AND BRANDS

You acknowledge and agree that Style Theory’s authentication process is in-house and independent. Brands identified on the Site are not involved in the authentication of the products being sold, and none of the brands sold assumes any responsibility for any products purchased from or through the website. Brands sold on the Site are not partnered or affiliated with Style Theory in any manner. However, Style Theory fully cooperates with brands seeking to track down the source of counterfeit items, which includes revealing the contact information of consignors submitting counterfeit goods.

FORCE MAJEURE

STYLE THEORY SHALL BE EXCUSED FROM PERFORMANCE UNDER THESE TOS, TO THE EXTENT IT IS PREVENTED FROM OR DELAYED FROM PERFORMING, IN WHOLE OR IN PART, AS A RESULT OF AN EVENT OR SERIES OF EVENTS CAUSED BY OR RESULTING FROM (1) WEATHER CONDITIONS OR OTHER ELEMENTS OF NATURE OR ACTS OF GOD, (2) ACTS OF WAR, ACTS OF TERRORISM, INSURRECTION, RIOTS, CIVIL DISORDERS OR REBELLION, (3) QUARANTINES OR EMBARGOES, (4) LABOR STRIKES, OR (5) OTHER CAUSES BEYOND THE REASONABLE CONTROL OF STYLE THEORY. IN THE EVENT THAT STYLE THEORY IS TEMPORARILY UNABLE TO FULFILL ANY OF ITS OBLIGATIONS IT WILL DO SO ONCE IT IS ABLE TO DO SO.
